These Terms & Conditions ("Terms") govern your access to and use of Canopy, a product of 8starlabs ("we", "us", "our"). By creating an account or using the service you agree to these Terms. If you do not agree, do not use Canopy.

1. Your account

You must be at least 16 years old to use Canopy. You are responsible for your account, the security of your credentials, and all activity that occurs under it. Provide accurate information and keep it current. Notify us at hello@8starlabs.com immediately if you suspect unauthorised access.

2. Workspaces

Free workspace limit. Each account may hold up to two workspaces on the Free plan at a time. To create further workspaces you must upgrade an existing free workspace to Pro.

Downgrading. Downgrading from Pro to Free never deletes your data. Maps, nodes, and workspaces exceeding the Free plan limits become read-only until you re-upgrade, trim them, or delete the surplus. If you own two workspaces and both are on Free after a downgrade, the surplus workspace(s) become read-only until you re-upgrade one, delete one, or designate which single workspace remains on the Free plan.

Ownership. Every workspace has exactly one Owner. The Owner controls billing, Stripe Connect payout settings, member invitations, and template listings. Ownership may be transferred to any current member from workspace settings. Once transferred, the former Owner becomes an Admin; the new Owner assumes all billing obligations from the next billing cycle.

Stripe Connect is personal, not transferred. Marketplace payout accounts (Stripe Connect) are linked to the individual seller's account, not to the workspace. When ownership is transferred, the workspace's template listings remain in the workspace, but the new Owner's own Connect account is used for all future template sales. If the new Owner has not yet completed Stripe Connect onboarding and KYC, template listings in the transferred workspace will be purchasable but payment will be blocked - buyers will see an error - until the new Owner sets up payouts from workspace settings. The previous Owner's Connect account is unaffected; it remains theirs and is not transferred.

3. Plans & billing

Seat billing. Pro workspaces are billed per seat. Every workspace member - Owner, Admin, Editor, or Viewer - occupies a paid seat. There are no free or view-only seats. The Owner may pre-provision a seat pool larger than the current member count. The Stripe subscription quantity is always the greatest of: the seat pool, the actual member count, and 1. Inviting a member beyond the available pool automatically increases the quantity (prorated). Removing a member revokes access immediately but does not automatically reduce the seat count - the Owner must lower the pool from billing settings to reduce the next invoice.

Fees and payment. Subscriptions are billed in advance monthly or annually via Stripe in USD. You authorise us to charge the payment method on file for all fees incurred. Prices are exclusive of applicable taxes, which are added at checkout where required by law. We may change pricing at any time, at our sole discretion; updated pricing applies from your next renewal. We are not obliged to give advance notice of a price change.

Failed payments and grace period. If a payment fails, Stripe retries on its standard schedule. We additionally grant a 7-day grace period during which your workspace stays on Pro. If payment is not recovered within 7 days, the workspace is automatically downgraded to Free: maps are preserved but those exceeding plan limits become read-only, workspace members beyond the Owner lose access, and any paid template listings are paused (not deleted). The workspace restores fully when the subscription is renewed.

Refunds and cancellations. Subscription fees are non-refundable except where required by applicable law. You may cancel at any time from billing settings; your workspace remains on Pro until the end of the paid period, then downgrades to Free. Template marketplace purchases are covered separately in Section 5.

4. Acceptable use

Don't misuse Canopy. In particular, don't:

  • attempt to break, overload, circumvent plan limits, or reverse-engineer the service;
  • access another workspace's data without authorisation;
  • upload, list, or distribute unlawful, harmful, or infringing content;
  • embed prompt-injection payloads or hidden instructions designed to manipulate AI models that process exported content;
  • resell, repackage, or redistribute purchased templates as your own;
  • scrape or systematically extract data without our written permission;
  • impersonate another person or entity, or misrepresent your identity or affiliation;
  • use the service in any way that violates applicable law or these Terms.

We may investigate violations and, at our discretion, remove content, suspend access, or terminate accounts.

5. Template marketplace

Sellers

Pro and Enterprise Owners may list a map as a paid template for a one-time price up to $199 USD. By listing, you represent that:

  • the template is your original work or you hold all rights necessary to sell it;
  • it does not infringe any third-party intellectual property, privacy, or other rights;
  • the listing description, previews, and metadata accurately represent the template;
  • it contains no malicious code, hidden AI-manipulation instructions, or content prohibited under Section 4.

Payouts are made via Stripe Connect. You are responsible for accurate KYC/tax onboarding and for any taxes on your earnings. We retain a platform fee of 10% + $0.50 USD per sale; the remainder is paid to your connected account. Stripe's standard processing, payout, and monthly active-account fees are charged to your connected account and are your responsibility. This fee structure is designed so that the platform always nets a positive amount per transaction; sales of very low-value templates may result in minimal payout to the seller after Stripe fees.

Refunds are at your discretion. Sales are final for buyers; you are never obliged to refund. There is no self-service refund tool; if you wish to refund a buyer, contact us at hello@8starlabs.com to arrange it. If a refund is issued, the buyer is refunded in full and the full amount - including Canopy's platform fee - is reversed from your payout, so the cost of a discretionary refund is borne entirely by you. The buyer's entitlement is revoked when the refund clears. Refunds are final.

Pausing on downgrade. If your workspace drops to Free, all its paid listings are paused - the buy CTA is hidden, but listings remain viewable and existing buyers keep their entitlements. Listings resume when the workspace is re-upgraded to Pro.

Deleting a sold template. If you delete a map that has been purchased by at least one buyer, the map is archived rather than permanently deleted. Archived maps are unlisted from the gallery and cannot be purchased. Existing buyers retain read access and can clone the original snapshot captured at purchase time; the "Clone latest" option is no longer available once archived. A map with no buyers is permanently and immediately deleted.

Buyers

Purchasing a template grants you a personal, non-exclusive, non-transferable licence to access a live entitlement - not an instant copy. The entitlement lives in your library, reflects the seller's updates to the source map, and you may clone an editable copy at any time at no additional charge.

No resale. You may not resell, repackage, sublicence, or redistribute the template or any clone as your own work. Each clone is watermarked with a unique per-buyer identifier; this watermark cannot be removed. Circumventing provenance markers is a breach of these Terms and may result in account termination.

All sales are final. Template purchases are non-refundable. Once a purchase completes and the entitlement is granted, you are not entitled to a refund, in whole or in part - including the platform fee - and the sale is final. There is no self-service refund. A refund may be issued only at the sole discretion of the seller (for example, to resolve a dispute) and is processed manually; Canopy does not provide, guarantee, require, or mediate refunds, and being granted one is not a right. If a refund or chargeback is issued, your entitlement is revoked - you lose access to the seller's map, can no longer clone it, and any editable copies you cloned from it are deleted. Nothing in this section limits any non-waivable rights you may have under mandatory consumer-protection laws in your jurisdiction; where such laws require a refund, we will comply to the extent required. If you believe a template was materially misrepresented or contains harmful content, contact hello@8starlabs.com with your order details and we may, at our discretion, remove the listing and ask the seller to refund.

Bought entitlements and plan limits. Purchased entitlements live in your library and do not count toward the Free plan's 2-map quota. Editable clones created from a purchased entitlement are normal maps and do count toward your quota. Cloning a free public map also counts toward your quota; if you are on the Free plan and at the 2-map limit, cloning will be blocked until you upgrade or free up a slot.

Seller's workspace downgraded or suspended. If the seller's workspace is downgraded to Free or the seller's account is suspended, you retain full read access to your entitlement. You can clone the original snapshot captured at purchase time, or - if the source map is still accessible - the seller's current version. Downgrading does not archive or delete the source map; it only pauses new purchases.

DMCA and intellectual property takedowns

If you believe content on Canopy infringes your intellectual property rights, send a notice to hello@8starlabs.com containing: (a) a description of the work claimed to be infringed; (b) a URL or other identification of the allegedly infringing content; (c) your contact information; and (d) a statement that you have a good-faith belief the use is not authorised and that the information provided is accurate. Repeat infringers will have their accounts terminated.

6. GitHub integration

When you authorise Canopy's GitHub App, we request read access to specific files in your repository (dependency manifests, lock files) to generate an architecture map. We do not store your source code or commit history. The GitHub App access is held only for the duration of the import. You can revoke it at any time from your GitHub account settings.

7. Canopy AI

Canopy AI is powered by third-party language models (currently OpenAI). AI-generated output is provided as-is and may be inaccurate, incomplete, or outdated. You are solely responsible for reviewing AI output before acting on it. We make no warranty as to the accuracy or fitness of AI-generated content for any purpose. AI usage is subject to daily rate limits that vary by plan.

8. Your content and IP

You own the maps, nodes, edges, spend data, and other content you create ("Your Content"). You grant us a limited, non-exclusive, royalty-free licence to store, display, and process Your Content solely to provide and improve the service. We don't sell Your Content.

When you publish a map as public or list it as a template, you grant us and other users the right to view it and - for free public maps - clone it. You can make any map private or delist any template at any time, subject to the archive rules in Section 5.

9. Availability and changes

We aim to keep Canopy available but don't guarantee uninterrupted service. We may add, change, suspend, or remove any feature - including core functionality - at any time and without notice, at our sole discretion. We are not obliged to give advance notice of any such change.

10. Termination and dormant accounts

Definitions. Your account is the personal identity you log in with (one per person, tied to your email). A workspace is a separate billing and collaboration unit that your account owns; one account can own multiple workspaces. These are distinct - deleting your account deletes all workspaces you own; deleting a workspace does not affect your account or other workspaces you own.

Deleting your account. You may delete your account at any time from account settings ("Delete account"). Deletion is immediate, permanent, and irreversible - there is no suspension period, no grace window, and no way to recover the account or its data afterward. You cannot delete your account while you still own a paid workspace; cancel that subscription or transfer ownership first. On deletion: (a) all Stripe subscriptions on your owned workspaces are cancelled immediately with no refund for the unused period; (b) your account is deleted and you will not be able to sign back in or reactivate it; (c) all workspaces you own and their maps, nodes, and edges are permanently deleted, and all members lose access; (d) your Stripe Customer records are deleted from Stripe; (e) if you are a seller, your personal Stripe Connect account is left intact - it remains open on Stripe's side and you can log in at express.stripe.com independently to withdraw any remaining payout balance; (f) maps purchased by other users are archived (not deleted) under a frozen, ownerless workspace that keeps your original name with an "Archived" badge - buyers retain read access. Because deletion is immediate, please export anything you want to keep before confirming.

Deleting a workspace. Deleting a workspace (without deleting your account) immediately cancels that workspace's Stripe subscription, removes all members' access, and permanently and immediately deletes the workspace and all its maps, nodes, and edges. This cannot be undone. The archive rule for sold templates applies: maps that have been purchased are archived rather than deleted, and buyers retain access to their original snapshot.

Suspension by us. We may suspend your account - preventing login - for breach of these Terms, fraud, failed payment beyond the grace period, or prolonged inactivity. Suspension of your account makes all your owned workspaces inaccessible to you and their members; it does not affect workspaces you are merely a member of.

Dormant accounts. Accounts that have not been accessed for 3 consecutive months are subject to our Dormant Account Policy, which describes the notice process, the distinction between account suspension and workspace inaccessibility, and data retention. Unlike voluntary deletion (which is immediate), dormant-triggered suspension starts an automatic 30-day deletion countdown - a suspended dormant account is permanently deleted 30 days after suspension (with a final-warning email beforehand) unless you reactivate before then. Maps other users have purchased are archived (not deleted) so buyers retain access.

11. Disclaimers

Canopy is provided "as is" and "as available" without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the service will be error-free, uninterrupted, or free of harmful components.

12. Limitation of liability

To the maximum extent permitted by law, 8starlabs and its officers, employees, and agents are not liable for indirect, incidental, special, consequential, or punitive damages - including lost profits, data, or business - arising from your use of or inability to use Canopy.

Our total aggregate liability for any claim arising from these Terms or the service is limited to the greater of: (a) the total fees you paid us in the 12 months before the claim, or (b) $100 USD.

Some jurisdictions do not allow certain liability exclusions; in those jurisdictions our liability is limited to the fullest extent permitted by law.

13. Indemnification

You agree to indemnify and hold harmless 8starlabs and its officers, employees, and agents from any claims, losses, damages, and costs (including reasonable legal fees) arising from: (a) your use of the service; (b) Your Content; (c) your breach of these Terms; or (d) your infringement of any third-party right.

14. Governing law

These Terms are governed by applicable law. Any dispute shall first be attempted to be resolved through good-faith negotiation. If not resolved within 30 days, disputes may be submitted to a court of competent jurisdiction.

15. Changes to these Terms

We may update these Terms at any time, at our sole discretion. Changes take effect immediately when we post the revised Terms, indicated by the Last updated date at the top - no advance notice is required. We may, but are not obliged to, additionally notify you of material changes by email or in-app notice. Your continued use of Canopy after the updated Terms are posted constitutes acceptance; please review this page periodically.
